These Terms of Use ("Terms") govern access to and use of the services, platforms, applications, APIs, software, products and features offered by Daguito LLC ("Daguito", "we", "our" or "the Company"). By creating an account, accessing or using any of Daguito’s services, you ("User", "you" or "Client") accept these Terms. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not accept these Terms, you must not use the Services.
For the purposes of these Terms:
The User must have sufficient legal capacity to enter into binding contracts under applicable law.
When a person uses Daguito on behalf of a company, organization or entity, that person represents and warrants that they have sufficient authority to accept these Terms on behalf of that entity.
For consumer users, additional requirements established by applicable consumer protection laws in their jurisdiction may apply.
Daguito provides software tools intended to facilitate process automation, information management, user interaction, workflow creation and the use of artificial intelligence technologies. Available features may vary depending on:
Daguito may introduce, modify, improve, limit or withdraw features of the Services. When a modification involves a material reduction of a contracted feature, Daguito will endeavor to provide reasonable notice where required by applicable law.
When registering, the User must provide accurate, complete and up-to-date information. The User is responsible for:
The User will be responsible for activities carried out through their Account, except where such activities result from a security breach directly attributable to Daguito. Daguito may suspend or limit an Account where there is reasonable evidence of fraud, abuse, unauthorized access, breach of these Terms or risk to Daguito, other users or third parties.

The applicable price will be the one shown at the time of contracting the Service, unless another price is expressly agreed through a separate contract.
5.1 Subscriptions. Subscriptions may renew automatically for successive periods when so indicated during the contracting process. The User authorizes Daguito or its payment provider to make the corresponding charges to the registered payment method. The User may cancel renewal in accordance with the instructions available in the Service. Cancelling a subscription will normally prevent future renewals but will not necessarily generate a refund for periods already started, unless Daguito indicates otherwise or applicable law requires such refund.
5.2 Pay-per-use. Certain features may be charged based on consumption. Consumption may be calculated using metrics such as, among others: number of requests; tokens; API calls; agent executions; tasks executed; storage; processing; messages; users; credits used; or any other metric indicated in the relevant product. Daguito may modify the metrics, limits and prices applicable to future consumption by providing the notice required by applicable law.
5.3 Taxes. Prices may not include applicable taxes, fees, withholdings or other government charges. The User will be responsible for the taxes corresponding to their use of the Services, except for those taxes Daguito is legally required to collect directly.
Unless expressly stated otherwise, payments made for Services, credits or consumption are non-refundable. Nothing in this section limits refund rights that cannot be legally excluded under applicable law. When Daguito offers free trials, promotional credits or discounts, additional conditions may apply.
Daguito may use artificial intelligence models and technologies provided by Daguito or third parties. The User acknowledges that artificial intelligence systems may produce incorrect, incomplete, inconsistent, outdated, biased or inappropriate results. Outputs should not necessarily be considered:
The User is responsible for reviewing Outputs before using them when the nature of the use requires human validation.
7.1 Automation and Agents. Some features may allow an Agent to execute actions automatically, including interacting with APIs, sending communications, modifying information, creating records or performing other operations authorized by the User. The User is responsible for the instructions provided, authorizations granted, integrations connected, permissions granted, limits configured and supervision of automated actions when reasonably necessary. Daguito does not guarantee that an Agent will interpret an instruction perfectly or that all its actions will produce the expected result. The User must not use automated agents for illegal, fraudulent, abusive activities or activities that infringe third-party rights.
The User retains the rights they legitimately hold over their Content. The User grants Daguito a limited, worldwide, non-exclusive license as necessary to host, store, reproduce, process, transmit and use User Content solely to the extent necessary to provide, maintain, protect and improve the Services, comply with legal obligations and enforce these Terms.
Daguito does not acquire ownership of User Content merely because it is used in the Services. The User represents and warrants that they have the rights, permissions and authorizations necessary to provide User Content to Daguito and to allow the processing of such content under these Terms.
Daguito may use technical information, usage statistics, telemetry, aggregated metrics and other information that does not reasonably identify a person to analyze, maintain, protect and improve the Services. The processing of personal information will be carried out in accordance with Daguito’s Privacy Policy and, where appropriate, specific data processing agreements.
Daguito will not use User Content for purposes incompatible with the obligations expressly assumed with the User. When a product or configuration allows the User to control certain uses of their data, those settings will prevail within the scope indicated.
The Services may depend on external providers, including infrastructure, storage, payment processing, APIs, artificial intelligence models, communications and other technology services. The availability and operation of certain features may depend on such providers. Daguito may substitute or incorporate equivalent providers when necessary to operate or improve the Services.
Third-Party Services may be subject to their own terms and policies. Daguito does not control and is not responsible for the practices, availability, content or policies of Third-Party Services.
The User may connect Daguito with certain external services. By enabling an integration, the User authorizes Daguito to access and process the information necessary to provide that integration according to the selected configuration. The User is responsible for verifying that they are authorized to connect such services and share the corresponding information. Daguito will not be responsible for modifications, interruptions, restrictions or failures caused exclusively by the external provider.

Daguito may investigate possible breaches and take the measures reasonably necessary to protect its Services and users.
The Services, including their software, code, architecture, interfaces, designs, trademarks, logos, documentation, features and underlying technology, belong to Daguito or its respective licensors. These Terms do not transfer to the User any ownership rights over Daguito’s technology.
Daguito grants the User a limited, revocable, non-exclusive and non-transferable license to use the Services during the contracted period and solely in accordance with these Terms. The User may not copy, sell, sublicense, distribute or commercially exploit the components of the Services beyond the scope permitted by Daguito.
If the User provides suggestions, comments, ideas or recommendations about the Services, they authorize Daguito to use such feedback without obligation of compensation, provided that such use does not involve disclosing the User’s confidential information.
Daguito will make commercially reasonable efforts to keep the Services available. However, Daguito does not guarantee that the Services will be available uninterrupted or error-free. The Services may experience interruptions due to:
Daguito may perform scheduled maintenance and, where reasonably possible, provide prior notice.
Daguito will implement reasonable technical and organizational measures intended to protect the Services and the information processed through them. However, no information system can guarantee absolute security. The User acknowledges that they must implement appropriate security measures in their own systems, accounts, devices, integrations and credentials. Where applicable to an enterprise client, Daguito may enter into a separate Data Processing Agreement (DPA).
The processing of personal data is governed by Daguito’s Privacy Policy, which forms part of the contractual framework applicable to the Services. The Privacy Policy describes, among other aspects, the categories of information collected, purposes of processing, providers used, data subject rights and mechanisms to exercise those rights.
When the User uses Daguito to process third-party personal information, the User will be responsible for having the legal bases, authorizations, notices and other requirements necessary for such processing. Where applicable, Daguito may act as a service provider, processor or data processor depending on applicable law and the processing context.
Each party must protect the other party’s confidential information and use it solely to fulfill its obligations or exercise its rights related to the Services. Confidential information does not include information that:
A party may disclose confidential information when legally required to do so, provided it is legally possible to provide prior notice.
The User may stop using the Services at any time. Daguito may suspend or terminate an Account when:
Where reasonably possible and legally permitted, Daguito will provide the User a reasonable opportunity to correct a breach before terminating the Account. Upon termination, the User’s right to use the Services will end. Daguito may retain certain information when necessary to comply with legal obligations, resolve disputes, prevent fraud or enforce these Terms.
Where technically possible, Daguito may provide mechanisms for the User to export their Content. After termination, Daguito may delete User Content in accordance with its retention policies and legal obligations. Specific retention periods may be set out in the Privacy Policy, DPA or corresponding documentation.
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available". Daguito does not warrant that:
Nothing in these Terms excludes warranties or rights that cannot be legally excluded.
To the maximum extent permitted by applicable law, Daguito will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, revenue, opportunities, data or reputation arising from the use or inability to use the Services.
To the maximum extent permitted by applicable law, Daguito’s total aggregate liability related to the Services will be limited to the amount actually paid by the User to Daguito during the twelve (12) months prior to the event giving rise to the claim. This limitation will not apply to the extent a liability cannot be legally limited. For enterprise clients with specific contracts, different liability limits may be established by written agreement.
To the maximum extent permitted by applicable law, the User agrees to indemnify and hold harmless Daguito, its affiliates, officers, employees and providers from claims, damages, losses, liabilities and reasonable expenses arising from:
Daguito may modify these Terms from time to time. When changes are material, Daguito will endeavor to provide reasonable notice through the Services, email or other appropriate means. Continued use of the Services after the new Terms take effect will constitute acceptance of the changes, except where applicable law requires a different form of consent.
These Terms will be governed by the laws of the State of Delaware, United States, without prejudice to mandatory consumer protection rules or other provisions applicable to the User in their jurisdiction. Any dispute related to these Terms will be subject to the jurisdiction of the competent courts of Delaware, unless applicable law provides otherwise.
Daguito may offer its Services to users located outside the United States. The User is responsible for complying with the laws applicable to their use of the Services in their jurisdiction. Certain features may not be available in all countries. Where local laws grant rights that cannot be excluded by contract, those rights will remain in force.
When the User is a natural person acting as a consumer, no provision of these Terms is intended to exclude mandatory rights granted by applicable consumer protection laws. Where there is a conflict between a provision of these Terms and a mandatory rule applicable to the consumer, that rule will prevail to the corresponding extent.
These Terms, together with any applicable additional agreement, constitute the agreement between the User and Daguito regarding the Services. If a provision is invalid or unenforceable, the remaining provisions will remain in force. Daguito’s failure to exercise a right will not constitute a waiver of that right. The User may not transfer their rights or obligations under these Terms without Daguito’s prior authorization. Daguito may transfer these Terms in connection with a corporate reorganization, merger, acquisition, sale of assets or similar transaction.
